Company Constitution

Company Constitution

Formation and registration of Italian companies, from S.r.l. and S.p.A. to partnerships and branches of foreign companies.

Our Approach

We support entrepreneurs and businesses in choosing and setting up the right legal form in Italy. Whether you need a limited liability company (S.r.l.), a joint-stock company (S.p.A.), a partnership, or a branch of a foreign entity, we guide you through the constitution process, registration with the business register (Registro Imprese), tax registration, and VAT number. We also assist with bylaws, shareholder agreements, and initial corporate governance.

Our team works with notaries, chambers of commerce, and the tax authority so that your company is properly constituted and compliant from day one. We advise on minimum capital, director and representative requirements, and ongoing obligations. For professionals and small businesses, we also support VAT registration and the applicable simplified or ordinary regimes.

Frequently Asked Questions

Common questions about company constitution in Italy

What is the difference between S.r.l. and S.p.A.?

The S.r.l. (società a responsabilità limitata) is a limited liability company, often used by SMEs, with a minimum share capital. The S.p.A. (società per azioni) is a joint-stock company, typically used for larger or listed companies, with shares that can be more easily transferred. We can advise on which form best fits your business and assist with the constitution and registration.

Can a foreign company open a branch in Italy?

Yes. A foreign company may establish a branch (succursale) in Italy. The branch must be registered with the business register and comply with Italian tax and reporting obligations. We assist with the registration, tax number, VAT, and ongoing compliance.

How long does it take to incorporate a company in Italy?

The timeline depends on the type of entity and the completeness of documents. Typically, after the notarial deed and registration with the business register, you can obtain the tax code and VAT number within a few weeks. We coordinate with the notary and authorities to keep the process on track.

Do I need a notary for company constitution?

Yes. Italian limited liability companies (S.r.l., S.p.A.) and certain other entities are constituted by a notarial deed. We work with notaries to prepare the deed and bylaws and to complete registration with the business register and tax authority.
